Lessons for Franchisors and Franchisees

  • Posted

The recent decision by Vodafone UK to terminate contracts with 12 of its franchisees has sparked discussion across the franchising world and highlights lessons for franchisors and franchisees.

The full details of the case are subject to legal proceedings. Still, they do highlight essential considerations that both franchisors and franchisees should make to maintain successful and happy relationships.

The Background

Earlier this month, Vodafone ended agreements with franchisees who are involved in a £120 million legal action against the company. The franchisees stated that Vodafone changed the commission structures, which had a significant impact on their businesses. Vodafone has stated that it was necessary to protect both the brand and the wider network.

It is important to point out that, as this is subject to a legal case, it would be incorrect to point fingers and assign blame. This article is just to reiterate the importance of maintaining good relationships throughout the franchise term.

Why This Matters to Both Franchisees and Franchisors

While we await the outcome, there are some important lessons for franchisors and franchisees that apply universally:

Trust is Fundamental

A franchise partnership without mutual trust is destined to fail. This trust starts with the franchise agreement and it will be the basis for the relationship between franchisee and franchisor.  Trust needs to be maintained throughout the relationship by ongoing communication.

Clarity in Contracts is Crucial

Both franchisors and franchisees should make sure that contracts are transparent, fair, and fully understood. Clear agreements can prevent misunderstandings from becoming disputes.

Communication is Vital During Change

When businesses implement significant operational or strategic changes, early and open communication with franchisees helps maintain confidence, understanding, and unity within the network.

Commitment to Best Practice

The British Franchise Association lays out a Code of Ethics that promotes transparent, fair, professional and ethical franchising in the UK. While there are no specific laws governing franchising in the UK, by voluntarily adhering to the standards laid out, brands can build long-term success and a happy franchise network.

The Importance of Relationship Management

Successful franchises are built upon working together, fairness, and shared goals. Franchisors must be open to full transparency and encourage regular communication with their franchisees. Systems should be clear, and training should be kept up to date. Franchisees must ensure they fully understand their contractual commitments and ask for clarification if they do not understand something.
